I’m not sure about the purpose of changing the name of LLP and keeping the old name to a new private limited company. However, if the intention is to establish a Private limited company in the existing LLP’s name and you want to change LLP’s name so that the name becomes available for your private limited company then you can follow the process mentioned below
- Any existing company can give NOC to another company being established to use the same name as the existing company
- Hence, you can apply for name allotment for your private limited company with the same name as your existing LLP and attach a NOC issued by the LLP
This way you can be sure that you will get the old name allocated for your private limited company. After this step, if you still want to change the name of the LLP you can go ahead and do it. LLP Act-2008 allows you to change the name of the LLP by submitting form-1 again. However, if the ROC feels that the proposed name does not convey the business objective properly or if the proposed name is similar to existing company name or trademark then the ROC may reject your name application. Otherwise, the process of name change in an LLP is allowed.
